Affiliate Agreement
This Affiliate Agreement (the “Agreement”) is entered into by and between Fashion Talkz, referred to as the “Company,” and the affiliate partner, referred to as the “Affiliate.” By participating in the Company’s affiliate program, the Affiliate agrees to the terms and conditions outlined below:
1. Enrollment in the Affiliate Program:
a. The Affiliate must complete the Company’s affiliate application and be approved by the Company to become a participant in the affiliate program.
b. The Company reserves the right to reject or terminate an affiliate relationship at any time if the Affiliate violates the terms of this Agreement or engages in any activity that may harm the Company’s reputation.
2. Affiliate Commissions:
a. The Company will pay the Affiliate a commission for qualified sales generated through the Affiliate’s unique affiliate link or promotional code.
b. The commission rate and payment terms will be outlined in the Company’s affiliate program documentation. The Company reserves the right to modify commission rates and payment terms with notice to the Affiliate.
3. Affiliate Promotion:
a. The Affiliate agrees to promote the Company’s products or services in a manner that aligns with the Company’s brand values and guidelines.
b. The Affiliate is responsible for creating and distributing their promotional materials, ensuring they are accurate and compliant with applicable laws and regulations.
4. Tracking and Reporting:
a. The Company will provide the Affiliate with unique tracking links or promotional codes to track sales generated through the Affiliate’s efforts.
b. The Company will provide the Affiliate with access to reporting tools to track the performance of their affiliate activities.
5. Payments:
a. Commissions will be paid on a regular basis as outlined in the affiliate program documentation.
b. Payments will be made in the agreed-upon currency through a method specified by the Company.
6. Confidentiality:
The Affiliate agrees not to disclose any confidential information obtained from the Company during the term of this Agreement or thereafter.
7. Compliance with Laws:
The Affiliate agrees to comply with all applicable laws and regulations in their promotion of the Company’s products or services.
8. Termination:
a. Either party may terminate this Agreement at any time for any reason with written notice to the other party.
b. Upon termination, the Affiliate will no longer be eligible to earn commissions.
9. Relationship of Parties:
The relationship between the Company and the Affiliate is that of independent contractors. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
10. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of [Arbitration Organization], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
11. Miscellaneous:
a. This Agreement constitutes the entire understanding between the Company and the Affiliate and supersedes all prior agreements or understandings, whether written or oral.
b. This Agreement may only be amended in writing and signed by both parties.
By participating in the Company’s affiliate program, the Affiliate acknowledges that they have read, understood, and agreed to the terms and conditions of this Affiliate Agreement.
